Subject to these Terms and any applicable order or agreement, SMS grants you a limited, non-exclusive, non-transferable license to access and use the SMC Platform solely for your internal business operations.

The SMC Platform is subject to United States export control laws and regulations, including the Export Administration Regulations (EAR) and the International Traffic in Arms Regulations (ITAR). You agree to comply with all applicable export control laws in connection with your use of the Platform. You represent that you are not located in, or a national of, any country subject to U.S. government embargo or trade sanctions.
You retain ownership of all data you input into or generate through the Platform (“Customer Data”). You grant SMS a limited license to process Customer Data solely to provide the Platform and related services to you.
SMS implements reasonable security measures to protect Customer Data. You are responsible for maintaining appropriate access controls within your organization.
The SMC Platform is designed to support CMMC compliance efforts by controlling and logging CNC file transfer workflows. However:
SMS makes no warranty that the Platform will satisfy the requirements of any specific CMMC assessment, regulatory audit, or legal proceeding.
THE SITE AND PLATFORM ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
SMS does not warrant that the Site or Platform will be uninterrupted, error-free, or free of harmful components.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR PLATFORM, EVEN IF SMS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SMS’S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO SMS IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless SMS and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Site or Platform, your violation of these Terms, or your violation of any applicable law or regulation.
These Terms are governed by the laws of the State of Ohio, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Hamilton County, Ohio.
We may update these Terms from time to time. We will post the updated Terms on this page with a revised effective date. Your continued use of the Site or Platform after changes are posted constitutes your acceptance of the updated Terms.
